1. Acceptance of These Terms

These Terms of Use ("Terms") govern your access to and use of the websites, content, and online services made available by Libero Labs, Inc. ("Libero Labs," "we," "us," or "our"), including our website located at liberolabs.ai and any trial or evaluation access to the Limen platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

If you or your organization has entered into a separate written agreement with Libero Labs, such as a Master Service Agreement and Order Form for a paid subscription to Limen, that agreement governs your use of the subscribed services and controls in the event of any conflict with these Terms.

2. Eligibility

The Services are intended for business use by individuals who are at least 18 years old. By using the Services, you represent that you meet these requirements.

3. Accounts and Registration

3.1 To access certain features, you may need to register for an account. You agree to provide accurate and complete information and to keep it up to date.

3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly at the contact address below if you suspect any unauthorized use of your account.

3.3 We may suspend or terminate accounts that violate these Terms or pose a risk to the Services or other users.

4. Acceptable Use

You agree not to, and not to permit others to:

• Use the Services in violation of any applicable law or regulation.
• Sell, resell, rent, lease, or sublicense the Services without our written authorization.
• Copy, modify, or create derivative works of the Services, or reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by applicable law.
• Access the Services to build a competing product or service, or copy their features or user interface.
• Interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access to the Services or related systems or networks.
• Probe, scan, or test the vulnerability of the Services without our prior written consent.
• Upload or transmit viruses, malware, or other malicious code.
• Use automated means (such as scraping or bots) to access the Services, other than standard search engine indexing.
• Misrepresent your identity or affiliation, or impersonate any person or entity.

5.1 The Services, including all software, content, designs, text, graphics, logos, and trademarks, are owned by Libero Labs or its licensors and are protected by intellectual property laws. Except for the limited right to access and use the Services in accordance with these Terms, no license or other rights are granted to you.

5.2 "Libero Labs," "Limen," and associated logos are trademarks of Libero Labs, Inc. You may not use them without our prior written permission.

5.3 If you provide feedback, suggestions, or ideas about the Services, we may use them without restriction or obligation to you.

6. Trial and Evaluation Access

If we make trial or evaluation access to Limen available to you, such access is provided for your internal evaluation purposes only, for the period we specify, and may be suspended or terminated at any time. Trial services are provided "AS IS" without warranty or support of any kind, and any data you submit during a trial may be permanently deleted at the end of the trial period unless you purchase a subscription.

The Services may contain links to third-party websites, integrations, or resources. We do not control and are not responsible for third-party content, products, or services, and your use of them is at your own risk and subject to the third party's terms.

You agree to defend, indemnify, and hold harmless Libero Labs and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Services.

12. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services or other users. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Sections 5, 9, 10, 11, 13, and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state and federal courts located in Utah, and the parties consent to personal jurisdiction and venue there.

• Changes to these Terms. We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new effective date. Your continued use of the Services after changes take effect constitutes acceptance.
• Entire agreement. These Terms, together with the Privacy Policy and any applicable separate written agreements, constitute the entire agreement between you and Libero Labs regarding the Services.
• Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
